Hi chrisV,
If NTFS is your file system, simply right-click it and click properties.
Click sharing for remote access, security for local access.  This is based upon the accounts set up on this PC.
If you're looking for a true password-lockout feature, try this tool: http://www.everstrike.com/lock_folder.htm

Thanks sirbounty ....

How do i know if NTFS is my file system?
And ... is there any other way to do it i.e. without using diferent user accounts (as i want it password protected on all accounts) and without using other software?

Thanks mate
Click Start/Run/Diskmgmt.msc <enter>
The description for C should tell you if you're using NTFS.
If so, protect it where only your account can access it and no one else will be able to....

If it's FAT/32 - you'll need a 3rd party tool...

I will have to go home and try, so i'll get back to you tomorrow.

What i want to do is have one computer account, lets say for myself and my girlfriend (so we are both administrators using the same account) put i want to restrict her from going into the folder c:/doc&settings/stuff/mysecretefolder

is this possible without third party software?

I just did what you said in your last comment (with win 2000 because i'm at work) but when I access the folder it just opens without asking for a password or anything. Is this because it uses my login detail that i use to log into my computer to verify if i can access the folder.... I want even myself who is the system admin to be asked for a passwrod when accessing this folder ... is this possible?

thanks for sticking with me on this one mate
Yes, that's because of your user-account's key...

If you have something like winzip, you can zip the folder and password protect it that way.

Otherwise, I believe you'll need a 3rd party tool to do what you're asking...
